Please read these Terms and Conditions carefully before using our site or purchasing any course. By using the site and/or purchasing any course or service, you agree to be bound by these Terms and Conditions. If you do not agree to all of these Terms, do not use this site or purchase our services.

1. AGREEMENT TO THE TERMS AND REVISIONS

These Terms and Conditions ("Agreement," "Terms") constitute a legally binding agreement made between you ("User," "You") and Teaching Online University ("TOU," "We," or "Us") concerning your access to and use of the website at www.teachingonlineuniversity.com (the "Site"), any associated program portals, and all related digital products, courses, coaching programs, membership access, live events, newsletters, social media content, and other offerings (collectively, the "Services"). Furthermore, the content of the courses, coaching sessions, emails, social media posts, and other communications will be referred to as "TOU Content."

We reserve the right to revise these Terms at any time. All changes are effective immediately when we post them, and your continued use of the Site or Services means you accept and agree to the changes.

2. INTELLECTUAL PROPERTY AND LIMITED LICENSE

A. Ownership of TOU Content

All content provided on the Site and within the Programs, including but not limited to text, videos, templates, and methodologies (TOU Content), is the proprietary property of TOU and is protected by copyright and other intellectual property laws.

B. Limited License Grant

Upon the purchase and payment of a Program, TOU grants you a limited, non-exclusive, non-transferable, non-sub-licensable, revocable license to access and use the TOU Content solely for your own personal, non-commercial, educational use.

C. Prohibited Conduct (IP Violation)

You expressly agree not to: Share your login credentials, resell or republish the TOU Content, or use the TOU Content to develop or teach a similar course or program.

D. Restrictions on Artificial Intelligence

You are strictly prohibited from using any TOU Content, in whole or in part, in connection with any Artificial Intelligence (AI), machine learning, or similar technology. This includes, but is not limited to, uploading any proprietary document into an AI model to train, fine-tune, or populate a competing service.

Violation of this Intellectual Property clause is a material breach of this Agreement and will result in immediate termination of your access to the Services without refund.

3. USER-GENERATED CONTENT (UGC) AND COMMUNITY STANDARDS

A. License Granted by You

By posting any comments, files, or materials (“User-Generated Content” or “UGC”) in communities provided by TOU, you automatically grant to TOU a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, copy, reproduce, display, and distribute that UGC for any purpose.

B. Community Standards

You agree that your UGC will not be illegal, harassing, discriminatory, or spam. You may not present content generated by AI as your own original work or advice within the community without clearly disclosing its AI source. We reserve the right to remove any UGC and terminate your access if you violate these standards.

4. PAYMENT, FEES, AND REFUND POLICY

A. Fees And Payment

You agree to pay all fees for Programs and Services you purchase. If payment is declined, we reserve the right to immediately suspend or terminate your access.

B. Installment Payments And Default

If you choose a payment plan and fail to make an installment payment on time, your access will be immediately terminated, and you will remain liable for any outstanding balance due.

C. Refund Policy

Refund policies vary by Program type:

  • Digital Programs (Courses & Memberships): All purchases of digital TOU Content (including mini-courses, full courses, and memberships) are final and non-refundable after 14 days from the date of purchase. Requests for a refund must be made in writing to [email protected].

  • Coaching and Time-Based Programs: Due to the time, resources, and individualized energy invested by the coach/instructor for planning, preparation, and delivery of sessions, all fees paid for individualized coaching, group coaching sessions, live events, or any other time-based Service are strictly non-refundable.

5. DISCLAIMER OF WARRANTIES

A. "As Is" And No Guarantee

The Site and TOU Content are provided on an "AS IS" and "AS AVAILABLE" basis. TOU makes NO WARRANTIES, EXPRESS OR IMPLIED, regarding the results that may be obtained from the use of the Services.

B. Technology And Access Disclaimer

TOU is not responsible for any delay, failure, or interruption of the Services due to technical issues, including downtime or failure of third-party platforms (e.g., hosting providers, course software) or your own equipment.

6. LIMITATION OF LIABILITY

A. Limitation of Damages

To the fullest extent permitted by applicable law, in no event shall TOU, its owners, employees, or affiliates be liable to you or any third party for any indirect, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Services.

B. Total Liability Cap

To the maximum extent permitted by applicable law, TOU’s total liability to you for any damages arising out of or related to this Agreement shall be limited to the greater of (A) the fees paid by you for the specific Program giving rise to the claim, or (B) $100.00 USD.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TOU and its owners, employees, and agents from and against any and all claims, liabilities, damages, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

8. GOVERNING LAW AND DISPUTE RESOLUTION

A. Governing Law And Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. You hereby consent to the exclusive jurisdiction and venue of the courts located in Gibson County, Tennessee, for any matters not subject to arbitration.

B. Binding Arbitration

Any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA) or a similar recognized body, with the arbitration to occur in Medina, Gibson County, Tennessee. You hereby expressly agree to present such claim only through binding arbitration in this specified venue.

C. Waiver of Class Action

You and TOU agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

9. MISCELLANEOUS PROVISIONS

A. Severability

If any part of these Terms is deemed unlawful, void, or unenforceable, that part shall be severable from these Terms.

B. Entire Agreement

This Agreement constitutes the entire agreement between you and TOU regarding the use of the Services, superseding any prior agreements or understandings.
